If you honestly believe you'd be better for her than the "other guy," then be her friend. Think about it, if she is as nice a girl as you say she is, and the guy is just looking for a good time, then she will eventually be hurt. Be her friend, she will complain to you, tell you what's wrong with her guy. Then you tell her that she deserves better, and convince her that it's true. When she leaves the guy, you're there waiting, and you've already layed all the ground work for a strong relationship.
